These Terms of Service ("Terms") govern your access to and use of the VendorBreach platform and services. By using our services, you agree to be bound by these Terms.
1. Use of Services
You may use our services only in compliance with these Terms and all applicable laws. You are responsible for maintaining the security of your account credentials and for all activities under your account.
2. Subscription & Billing
Paid plans are billed in advance on an annual or monthly basis. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.
3. Data Ownership
You retain all rights to your data. We do not claim ownership of any data you upload to the platform. We process your data solely to provide and improve our services.
4. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. Enterprise plans include SLA guarantees.
5. Limitation of Liability
To the maximum extent permitted by law, VendorBreach shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services.
6. Free Trial
New accounts may receive a 14-day free trial. At the end of the trial, unless you subscribe, your account becomes read-only and monitoring stops. Your data is kept for 30 days after the trial ends so you can subscribe or export it, after which it is deleted.
7. Confidentiality
Each party will keep the other's non-public information confidential, use it only to perform under these Terms, and protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
8. Data Retention and Deletion
We keep your data while your account is active. After cancellation or account closure, your data is deleted within 30 days, except where we must keep records longer by law. Backups are overwritten on their normal cycle. You may request export or earlier deletion by contacting us.
9. Liability Cap
To the maximum extent permitted by law, each party's total liability under these Terms is limited to the fees you paid to VendorBreach in the 12 months before the claim arose.
10. Governing Law
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada that apply there. The courts of Nova Scotia have exclusive jurisdiction over any dispute.
